1. General Provisions
1.1. Definitions
Affiliate Program: the referral program operated by Manychat, Inc. ("Manychat"), accessible at affiliate.manychat.com, through which approved partners ("Affiliates") refer new paying users and earn performance-based commissions.
Affiliate: any individual or legal entity approved by Manychat to participate in the Program following acceptance of these Terms.
Agency Affiliate: a legal entity that professionally manages Manychat accounts on behalf of multiple end clients, subject to the additional conditions in Section 8.
Creator/Educator Partner: an individual who primarily promotes Manychat through original content, courses, or communities to an engaged audience.
Referral: a new user who registers for Manychat using the Affiliate's unique referral link and upgrades to a paid plan within the attribution window.
Value Generated: the amounts actually paid by the Referral to Manychat for their subscription. Commissions are calculated exclusively on value generated — not on costs incurred by the Affiliate.
Fraud: any act or omission that artificially manipulates metrics, attribution, or payments, as further detailed in Section 5.
Low-Quality Traffic: users or referrals that do not represent genuine intent to use the Manychat platform, including but not limited to bots, incentivized sign-ups, or traffic misaligned with Manychat's target customer profile.
1.2. Acceptance of Terms
By enrolling in the Program, the Affiliate confirms they have read, understood, and agreed to these Terms in their entirety. Acceptance is a prerequisite for participation.
Manychat reserves the right to update these Terms with at least 15 days' prior notice. Continued use of the Program following notice constitutes acceptance.
1.3. Eligibility
The following may participate:
- Individuals aged 18 or older with full legal capacity;
- Legally incorporated business entities;
- Content creators, educators, influencers, consultants, and digital marketing agencies;
- Professionals with practical knowledge of the Manychat platform.
The following are ineligible:
- Current Manychat employees and their immediate family members;
- Individuals or entities whose participation was previously revoked for violation of these Terms;
- Entities in jurisdictions where the Program is prohibited by applicable law.
1.4. Relationship to Manychat Terms of Service
Affiliates who also use Manychat as customers — including Agency Affiliates operating accounts on behalf of clients — remain bound by Manychat's Terms of Service, Privacy Policy, and Data Processing Addendum for that use.
These Terms govern only the Affiliate's participation in the Program. Where these Terms conflict with the Terms of Service on a Program matter, these Terms apply.
Agency Affiliates that qualify as an "Agency" under Section 3 of the Terms of Service remain subject to the obligations set out there.
2. Partner Models
The Program supports multiple partner engagement models. Each model may be evaluated under different attribution and compliance criteria, at Manychat's discretion:
Affiliate (Link-Based)
Promotes Manychat primarily via referral links embedded in content, email, or paid media.
Commission eligibility is determined by the last-click attribution model.
Agency (Service-Based)
Manages Manychat accounts on behalf of end clients as part of a professional service offering.
Subject to additional attribution and compliance requirements detailed in Section 8.
Creator / Educator (Community-Based)
Promotes Manychat through original educational content, courses, live events, or engaged communities.
Attribution is evaluated in the context of genuine audience relationship and educational value.
Manychat reserves the right to classify or reclassify a Partner's model based on their observed promotional activities. Partners operating across multiple models will be assessed under the most applicable criteria for each referral.
3. Core Principle: Compensation Based on Value Generated
Foundational Principle
Affiliates are compensated for the VALUE GENERATED for Manychat — meaning revenue actually received from Referrals. Efforts, campaigns, or costs incurred by the Affiliate to promote the Program do not constitute a basis for commission.
Practical implications of this principle:
- Commissions are calculated on confirmed payments made by Referrals;
- Free sign-ups, trials, cancelled subscriptions before charge, and chargebacks do not generate commissions;
- Plan upgrades within the attribution period generate incremental commissions;
- Commissions are reversed proportionally if Manychat grants a refund to a Referral.
4. Commission Structure
4.1. Tiers and Rates
The Program operates on a progressive tier structure based on the Affiliate's cumulative lifetime paid sign-up count:

- Recurring commission applies to monthly payments made by the Referral during their first 12 months post-conversion.
4.2. Attribution Window
The attribution window is 90 days from the first click on the Affiliate's referral link. Commission is earned if the Referral converts to a paid plan within this period.
- Last-click attribution applies when multiple affiliates are involved;
- Direct platform visits without using a referral link do not generate attribution;
- Attribution is non-transferable between affiliates.
4.3. Upgrades and Downgrades
When a Referral upgrades their plan within the 12-month attribution period, the Affiliate's commission is recalculated on the new plan value from the month of the upgrade. Downgrades reduce commissions proportionally. Cancellations end commission eligibility for that Referral.
4.4. Uncapped Commissions
There is no commission cap. Given that Manychat plans can exceed $8,000/month, the maximum potential commission for a single conversion may exceed $4,000. Diamond-tier Affiliates have unlimited earning potential.
5. Traffic Quality Standards
5.1. Quality Over Volume
Company Standard
Manychat evaluates traffic quality beyond raw conversion metrics.
Assessment criteria include: user intent, product engagement, subscription retention, and alignment with Manychat's target customer profile.
High conversion volume paired with low retention or engagement may be subject to quality review.
5.2. Low-Quality Traffic
Manychat reserves the right to reject or exclude from commission any traffic sources that generate low-quality users, including but not limited to:
- Users with low engagement, rapid churn, or no meaningful product usage after sign-up;
- Users not aligned with Manychat's intended use cases or target customer segments;
- Traffic driven by overly broad, non-relevant, or misleading targeting;
- Users who signed up primarily due to external incentives unrelated to genuine interest in Manychat.
5.3. Prohibition on Traffic Arbitrage
The use of paid traffic strategies focused primarily on arbitrage — acquiring low-cost traffic with the intent to monetize through affiliate commissions without sufficient user intent — is prohibited and may result in commission denial, account suspension, or permanent termination.
Indicators of arbitrage activity include, but are not limited to:
- Abnormally high click-to-conversion ratios combined with low retention;
- Traffic sourced from incentivized networks, paid-to-click platforms, or traffic exchanges;
- Referral patterns inconsistent with the Affiliate's stated promotional channel or audience profile.
6. Fraud Prevention Policy
Enforcement Notice
Manychat operates automated fraud detection systems alongside a dedicated compliance team.
Any detected irregularity will trigger immediate investigation and preventive payment hold.
Confirmed fraud results in permanent termination and forfeiture of all pending commissions.
6.1. Conduct Defined as Fraud
The following are examples — non-exhaustive — of behavior that constitutes fraud:
A) Self-Referral
- Referring oneself, personal accounts, accounts of spouses, relatives, or business partners;
- Creating secondary accounts using one's own referral link;
- Using affiliated legal entities to generate conversions;
- Reimbursing or subsidizing a Referral's subscription payments to inflate commissions.
B) Attribution Manipulation
- Cookie stuffing: injecting affiliate cookies without a voluntary user action;
- Using hidden iframes, forced redirects, or scripts that trigger the referral link without a conscious user click;
- Falsifying or tampering with tracking parameters (UTMs, referral IDs);
- Intercepting organic or paid traffic from other channels to claim attribution;
- Typosquatting, page cloning, or use of domains confusingly similar to Manychat's.
C) Incentivized Traffic and Fake Leads
- Purchasing low-quality traffic, bots, click farms, or incentivized sign-up services;
- Offering financial rewards, cashback, gifts, or other incentives to induce third-party sign-ups via the referral link;
- Creating or purchasing illegitimate email lists for forced promotion;
- Mass unsolicited messaging (email, WhatsApp, SMS, DMs) without explicit recipient consent;
- Purchasing leads, registrations, or conversions from third parties.
D) Brand and Platform Misuse
- Running paid search ads using Manychat's trademarks or variations as bidding terms (brand bidding) without prior written authorization;
- Using deceptive marketing materials that promise non-existent features or guaranteed results;
- Promoting the Program on unapproved coupon, cashback, or deal-sharing sites;
- Any conduct that violates Manychat's main Terms of Service.
6.2. Consequences of Confirmed Fraud
- Immediate and permanent termination from the Program;
- Cancellation and forfeiture of all pending and unpaid commissions;
- Clawback of commissions already paid during the period covered by the fraud;
- Potential legal action for damages and recovery of misappropriated amounts;
- Notification to affiliate platforms and partner networks where applicable.
7. Compliance Procedures
7.1. Burden of Proof
Partner Responsibility
The Partner bears the burden of proof to demonstrate the legitimacy of their traffic sources, acquisition methods, and customer origin when requested by Manychat.
Inability or refusal to provide requested documentation will be treated as non-compliance.
7.2. Response Deadlines
When Manychat issues a compliance or verification request, the following response deadlines apply:
- Standard documentation requests: 5 business days;
- Urgent fraud investigation notices: 3 business days;
- Identity and tax verification: 10 business days.
Failure to respond within the specified timeframe may result in account suspension, commission withholding, or permanent termination, at Manychat's discretion.
7.3. Investigation Process
Upon detecting indicators of non-compliance or fraud, Manychat may:
- Preventively suspend payment of the commissions in question without affecting other amounts;
- Request supporting documentation from the Affiliate regarding their promotional practices;
- Conduct an internal investigation within up to 30 business days;
- Notify the Affiliate of the outcome and any measures applied.
The Affiliate will have 10 business days to submit their defense following formal notification.
7.4. Professional Conduct
Partners are expected to maintain professional and respectful communication with Manychat staff and representatives at all times.
Abusive, threatening, harassing, or defamatory behavior — whether directed at Manychat employees, other partners, or users — may result in immediate termination of the Affiliate's participation, forfeiture of pending commissions, and, where applicable, legal action.
7.5. Final Authority on Compliance Decisions
Program Discretion
All decisions made by Manychat regarding attribution, commission eligibility, traffic quality, and compliance are final.
Such decisions are not subject to appeal unless Manychat explicitly establishes an appeal process in writing.
Manychat's good-faith exercise of program discretion does not constitute grounds for liability.
8. Agency Affiliate Conditions
Scope of This Section
This section applies exclusively to Affiliates classified as Agencies — companies that professionally manage Manychat accounts on behalf of multiple distinct end clients on a recurring basis.
8.1. Definition of Agency Affiliate
For the purposes of these Terms, an Agency Affiliate is a legal entity that:
- Provides professional digital marketing services to third parties as a primary business activity;
- Actively and recurrently manages Manychat accounts for at least 3 distinct clients;
- Has demonstrated capacity to refer multiple new paying users per month.
8.2. Attribution Requirements for Agencies
Key Attribution Rule
Commission eligibility for Agency Partners requires that the Agency is the primary originator of the customer relationship.
Attribution established after a user has independently created or upgraded their Manychat account may not qualify for commission, regardless of the Agency's existing service relationship with that user.
Agencies must ensure that:
- Client referrals are made exclusively through the Agency's official referral link prior to the client's account creation or upgrade;
- The Agency can provide documentation of the client relationship origin upon request;
- Retroactive attribution claims for clients already on Manychat are not eligible unless expressly approved by Manychat in writing.
8.3. Self-Referral Prohibition for Agencies
The following are expressly prohibited for Agency Affiliates:
- Referring Manychat accounts that the Agency itself operates on behalf of clients, where the Agency is the financial responsible party for the subscription;
- Creating fictitious client accounts or accounts that are, in practice, the Agency's own operations;
- Earning commission on subscriptions whose payments are made directly by the Agency.
8.4. Agency Responsibility for Third-Party Conduct
The Agency is fully responsible for the promotional practices of its employees, contractors, and subagents acting in connection with the Program. Violations committed by Agency personnel are attributable to the Agency for purposes of these Terms.
8.5. Additional Compliance Obligations for Agencies
- Maintain formal contracts with each referred client evidencing the service relationship;
- Obtain explicit consent from clients before using their data in the referral process;
- Provide Manychat with a list of actively managed clients upon request for audit purposes;
- Not charge clients additional fees in connection with the Manychat partnership without disclosure.
8.6. Legacy Agency Partners
Manychat may, at its sole discretion, honor historical attribution models or commission structures for legacy Agency Partners who enrolled under previous program structures, provided that:
- Their activity during the prior program period was compliant with the terms in effect at that time;
- The legacy arrangement has been acknowledged in writing by Manychat;
- The Partner continues to meet active participation standards under current Terms.
Legacy status does not exempt a Partner from compliance with Sections 5, 6, and 7 of these Terms.
8.7. Agency Benefits
High-performing Agencies may receive additional benefits at Manychat's discretion, including:
- Early access to new platform features;
- Co-branded landing pages;
- Dedicated partnership support;
- Invitations to exclusive events, workshops, and product roundtables.
These benefits are granted at Manychat's sole discretion and do not constitute vested rights.
9. Affiliate Obligations
9.1. Ethical and Transparent Promotion
- Always disclose the affiliate relationship in any promotional content, as required by applicable law (e.g., FTC guidelines in the US, CONAR in Brazil);
- Use only approved marketing materials or produce original content that is truthful and non-deceptive;
- Avoid disparaging comparisons with competitors;
- Keep referral links functional and unaltered at all times.
9.2. Legal Compliance
- Comply with all applicable legislation, including data protection and privacy laws (such as the GDPR, UK GDPR, LGPD, CCPA/CPRA, and PIPEDA), e-commerce regulations, and digital advertising standards. Personal data is handled under Manychat's Privacy Policy and Data Processing Addendum, which are incorporated into these Terms by reference;
- Obtain valid consent before including any third-party emails in distribution lists;
- Refrain from aggressive cold outreach or spam on behalf of Manychat.
9.3. Record-Keeping
- Maintain up-to-date account, tax, and payment information in the dashboard at all times;
- Notify Manychat of any changes to legal entity name, tax ID, or banking details;
- Retain documentation of promotional activities for a minimum of 2 years.
10. Payments
10.1. Payment Schedule
- Commissions are consolidated at the end of each calendar month;
- Payment is processed on the 13th of the month following the month in which the commission was earned;
- Example: commissions earned in March are paid on April 13.
10.2. Payment Methods
Payments are processed via PartnerStack through the following methods: Stripe or PayPal.
The Affiliate is responsible for maintaining accurate and current payment details in the dashboard. Manychat is not liable for delays caused by incorrect or incomplete payment information.
10.3. Taxes and Fiscal Responsibility
The Affiliate is solely responsible for reporting and remitting all taxes applicable to their commissions under the laws of their jurisdiction. Manychat does not withhold or remit taxes on behalf of the Affiliate, except where expressly required by law.
11. Intellectual Property and Brand Usage
11.1. Limited License
Manychat grants the Affiliate a limited, non-exclusive, revocable, and non-transferable license to use Manychat's trademarks, logos, and marketing materials solely to promote the Program, in accordance with Manychat's current brand guidelines.
11.2. Prohibited Uses
- Registering domains, social media handles, or ad accounts using the Manychat brand or confusingly similar variations;
- Creating materials that imply official endorsement by Manychat without written authorization;
- Modifying Manychat visual assets without prior written approval;
- Using the Manychat brand in paid search advertising (brand bidding) without express authorization.
12. Term, Suspension, and Termination
12.1. Term
These Terms take effect upon the Affiliate's acceptance and remain in force for an indefinite period until terminated by either party.
12.2. Termination by Affiliate
The Affiliate may terminate participation at any time by notifying Manychat. Commissions earned prior to termination and not yet paid will be processed normally, provided no compliance investigation is pending.
12.3. Termination by Manychat
Manychat may terminate an Affiliate's participation:
- With 30 days' prior notice, without cause;
- Immediately, in cases of confirmed fraud, material breach of these Terms, or reputational harm to Manychat.
In no-cause termination, pending commissions will be paid normally. In for-cause termination, pending commissions are forfeited and paid commissions may be subject to clawback.
12.4. Effects of Termination
- The Affiliate must immediately cease all use of Manychat materials, referral links, and brand assets;
- Personal data will be handled in accordance with Manychat's Privacy Policy;
- Confidentiality and anti-fraud obligations survive termination for 3 years.
13. Indemnification
The Affiliate agrees to defend, indemnify, and hold harmless Manychat, its corporate affiliates, and their respective officers, directors, employees, and agents (each, an "Indemnified Party") from any third-party claims, damages, fines, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to:
- The Affiliate's violation of these Terms or applicable law, including the FTC Endorsement Guides, CAN-SPAM, the TCPA, CASL, or data protection laws;
- The Affiliate's false, misleading, or deceptive marketing;
- The Affiliate's infringement of a third party's intellectual property, publicity, or privacy rights;
- The Affiliate's unauthorized use of Manychat's trademarks, brand assets, or content;
- For Agency Affiliates: the conduct of the Agency's employees, contractors, or subagents in connection with the Program.
Manychat will notify the Affiliate of any covered claim promptly.
The Affiliate controls the defense at their own cost, but cannot settle on terms that bind Manychat or require Manychat to admit fault without Manychat's written consent.
This Section survives termination of these Terms.
14. Limitation of Liability
Manychat does not guarantee minimum earnings to any Affiliate. Program success depends entirely on each Affiliate's own efforts and results.
Manychat is not liable for indirect damages, lost profits, lost opportunities, or any consequential harm arising from participation or non-participation in the Program.
Manychat's total liability to an Affiliate, under any circumstance, is limited to the value of commissions due and unpaid in the 3 months preceding the damaging event.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without prejudice to mandatory consumer protection provisions applicable in the Affiliate's jurisdiction.
Any dispute shall first be submitted to a good-faith resolution attempt within 30 days of formal written notice.
Failing amicable resolution, the parties submit to binding arbitration before a neutral arbitrator. Class actions are expressly waived by both parties.
16. Miscellaneous
- These Terms constitute the entire agreement between the parties with respect to the Affiliate Program;
- No waiver of any right hereunder is valid unless made in writing;
- If any provision is held invalid, the remaining provisions continue in full force;
- Tolerance of violations does not constitute waiver of the right to enforce compliance in the future;
